Title of Position Compliance Manager

Department Risk & Compliance

Immediate Supervisor Chief Financial Officer

Location Blainville

Summary of the Role:
This role revolves around ensuring Hitachi Systems Security (“HISYS-SEC”) compliance with policies

and procedures adopted internally and by its parent company. This includes performing training, audits,

conducting third party due diligence as well as developing screening and reporting mechanisms. Export

control matters must be followed, documented and implemented alongside other compliance

requirements as the case may be. As a compliance manager, this employee reports to the Chief

Financial Officer.

Primary Responsibilities:
  • Draft organizational policies and procedures in accordance with industry best practices
  • Develop training for all employees on policies and procedures
  • Develop governance practices and maintain corporate and regulatory registrations and filings
  • Build and maintain relationships with internal members of the organization; as well as
understand the needs of external parties (affiliates, parent company, etc.)

  • Perform internal and external audits
  • Implement parent company’s compliance requirements
  • Design and monitor control systems to address violations of policies and procedures
  • Report risks to affected departments during compliance reviews
  • Supervise and manage employees’ part of the compliance department
  • Ensure that company’s policies and procedures comply with industry practices and ethical

  • Conduct research and fact finding
  • Align business interests within a compliance framework
  • Conduct ongoing reviews to ensure we are meeting the proper level of compliance
  • Ensure corporate secretariat responsibilities are fulfilled
  • Continuous review and administration of various forms and types of contracts-including and
not limited to drafting and revision

  • Perform third party due diligence reviews
  • Revise and provide input on external litigation cases; maintain record of internal and external
legal matters

  • Collaborate with internal and external sources to ensure a healthy and efficient compliance

  • Complete any additional duties assigned by Executives
Qualifications Required:
  • Bachelor’s degree in legal field or related
  • Minimum of 5 years of compliance experience; preferably individuals with a strong corporate
and compliance background

  • Contract drafting and negotiating experience
  • Strong knowledge of corporate legislation in many jurisdictions
  • Strong understanding of legislative frameworks stemming from best industry practices of good
governance principles and corporate law

  • Exceptional oral, written and interpersonal communication skills including the ability to explain
complex compliance concepts concisely and effectively

  • Ability to work collaboratively, autonomously and independently
  • Ability to manage multiple, concurrent projects in a fast-paced environment
  • Demonstrated business acumen, including the ability to see the "big picture" as well as the
relationship of very detailed and specific business issues

  • Demonstrated accountability and keen ability to meet aggressive time frames
  • High level of integrity, sound judgment, and strong ethics in business and personal conduct
  • Adaptable and comfortable with uncertainty and ambiguity
  • Must be a team player
