Job Summary
Under the supervision of the Manager, Legal Operations, the Law Clerk provides paralegal support to the Legal Department as it relates to corporate governance, litigation, corporate/commercial and regulatory matters. The Law Clerk provides ongoing support to the Manager, Legal Operations and others as directedon departmental initiatives and strategic projects, including compliance programs and contract management, as needed/required.

Job Responsibilities
Corporate Governance

Performs and/or supports corporate secretarial activities relating to all legal entities including minute books, resolutions, directors and officers, authorized signatories and powers of attorney
Maintains and/or supports corporate database (G.E.M.S.) for corporate documents/information related to all legal entities
Performs and/or supports drafting/reviewing corporate documents including contracts, reports and filings
Acts as Notary Public for Apotex Inc. and its affiliates, if/as needed/required
Performs and/or supports notarization and legalization of corporate, commercial, regulatory documents
Commercial

Performs and/or supports drafting/reviewing commercial and regulatory documents/contractsincluding CDAs, PVAs, QAAs, POAs, LOAs, LOIs and indirect procurement agreements
Performs and/or supports ATI process/internal controls, document review/production and tracking/reporting
Maintains standard form agreements
Litigation/e-Discovery Management

Accepts service of legal documents, if/as needed/required
Performs and/or supports activities relating to litigation holds, document production, metrics and reporting
Maintains and/or supports litigation summary database
Liaises with destruction team ensuring documents/samples are adequately preserved/protected for litigation
Supports Planet Data and Syncplicity site ensuring required data saved to platform as needed/required
Uses e-Discovery tools/software and or/oversees process to support data search as needed/required
General

Job Requirements
Education

Law Clerk Diploma, or other legal education/training equivalent
Institute of Law Clerks of Ontario Certificate

Experience/knowledge of
technology, contract management, litigation, e-billing, privacy/compliance
e-billing/matter management software (Legal Tracker), contract lifecycle management software (ARIBA) and legal entity management software (G.E.M.S.)
Canadian corporate governance
Canadian civil procedure / litigation including discovery
Excellent critical thinking and ability to manage large projects
Strong attention to detail skills
Experience

5-10 years of experience as a law clerk, legal assistant or related legal services working in both a corporate law department and/or or law firm environment with particular emphasis on corporate/commercial and regulatory experience. Experience working with a large multi-national corporate environment is an asset
