We are looking for a Commercial Lawyer who will be based in Saint John, or Grand Bay, New Brunswick and will report to the Associate General Counsel. As the Commercial Lawyer you will lead the company's preparation, review, negotiation and process of contracts, including implementation of contract and document management systems, and support process improvement initiatives in this regard. You will be responsible for negotiating, writing, reviewing, summarizing, researching and executing a wide variety of vendor and procurement agreements within a public procurement environment. You will also provide legal support on other business transactions and special projects.
Your key areas of responsibility will include:
Providing legal advice relating to contracts
Structuring, drafting, and negotiating complex commercial agreements, including non-disclosure agreements, supply and procurement contracts, commercial contracts, consulting and service agreements
Develop and support policies (directives/procedures) and training programs relating to public procurement compliance
Provide legal support to the business by ensuring continued compliance with laws and regulations, including public procurement requirements, and adherence to corporate policies; advise on risk mitigation relating to same
Ensure accountability of team members supporting these functions, including the quality and timeliness of advice and other work product delivered.
Support the GC and AGC in selection, retention, management and evaluation of outside counsel needed to support corporate and commercial work.

As an ideal candidate you possess:
JD or LL.B, with a minimum of 7 years of commercial and contract law experience
Experience advising clients in structuring, drafting, and negotiating complex commercial agreements
Preference for public sector focused transactional legal experience supporting a public sector organization
Experience working with federal, provincial, and/or municipal government procurement processes and contracting laws, regulations, and rules in Canada
Familiarity with related regulatory issues, including privacy
Ability to work collaboratively, independently, strategically, and with sound judgment
Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure
The ability to communicate in an effective and non-technical manner and exceptional project management skills are essential
Flexible, well-organized and the ability to work in a fast-paced internet and technology environment
A willingness to travel, within the province as required
An equivalent combination of education and experience may be considered. Proficiency in English, written and spoken, is required. French language proficiency is an asset.
