Director, Transaction Advisory Services Summary:
RSM Canada’s Transaction Advisory Services team supports the firm’s Private Equity and Strategic corporate clients as they execute their growth strategy through M&A activities, performing a range of services including buy-side due diligence, sell-side due diligence, and closing working capital projects.
The Director reports into the engagement Partner and works closely with other dedicated RSM deal professionals. They are responsible for planning, supervising, and delivery of financial due diligence engagements, while contributing to the development of the wider TAS practice across Canada.
The Director will lead negotiation of engagement scope, manage client relationships and expectations, supervise engagement teams, review (and at times prepare) detailed financial analysis, as well as identify and shape the key items to communicate to our client through our report deliverable.
The Director is seen as a trusted business advisor to their clients and contacts, and will have opportunity to expand the practice through cultivating prospects into leads and opportunities to provide financial due diligence and other RSM services for current and prospective clients.
Examples of the candidate’s responsibilities include:
Review detailed financial and trend analysis using a range of different sources including Target company annual financial statements, monthly management accounts, trial balance data, operational KPIs, and management reporting packs;
Identify and assess complex business / financial matters that impact the Target company, logically interpret results from analysis performed, and identify key implications for communication to the client;
Apply professional and technical skills on transactions across a wide variety of industries, drawing on past experience;
Manage engagement teams effectively (through budget management, staff management and quality/risk management);
Quickly develop an understanding of RSM firm resources and how to navigate internal and external tools to complete due diligence assignments most efficiently;
Lead meetings / calls with the Target company to identify and run key deal issues to ground;
Prepare a summary of key findings identified from analysis performed, and clearly articulate conclusions for project team discussion and to be communicated to the client;
Write detailed professional reports and presentations to communicate key findings and recommendations;
Perform detailed review of analysis and report writing prepared by junior staff;
Provide on-the-job coaching (focused on sharing of deal experience and knowledge of RSM tools) for development of managers and senior associates, to build a high performing and highly effective team (as well as identify areas for improvement for junior members to work on);
Demonstrate flexibility to meet project milestones and deadlines;
Provide a depth of industry knowledge (drawing on previous job experience) and continue to gain exposure to a diverse range of industries through on the job performance and external reading;
Support business development within the practice through preparation of proposal documents and sourcing leads to contribute to growing the TAS practice in Canada;
Develop personal brand profile in the market place, and relationships with existing and prospective clients through active participation in various external networking events and publication of thought leadership;
Actively work with other RSM service lines to identify and expand the client relationship and bring the wider RSM resources to bear during and following engagement execution;
Act with integrity, showcasing RSM values in internal and external interactions; and
Create and support an inclusive environment for developing people through people engagement & empowerment.
Qualifications and personal characteristics of successful candidate:
Bachelor’s degree in Accounting from an accredited university;
Must have CPA (or equivalent accounting designation) with previous mergers and acquisition experience in an advisory, corporate or private equity environment;
7-10 years of relevant professional services experience in audit, accounting, and transaction services, of which 4+ years of direct transaction services financial due diligence experience is required;
A self-starter who can quickly develop an understanding of the target business, its industry and its key drivers;
Natural curiosity with attention to detail are highly coveted;
Confidence interacting with clients, target company management, and team members from all levels of the organization (Partners to Associates);
Experience of managing client expectations and working effectively in teams;
Ability to work independently with minimal Partner supervision;
Excellent verbal and written communication skills, with ability to present findings to technical and non-technical audiences in a clear and concise fashion;
Excellent Microsoft Excel skills, with relevant experience of manipulating data to identify historical trends through meaningful financial analysis;
Knowledge and experience of using Microsoft PowerPoint;
Experience in data analytics is an asset;
Will take pride in their work, with the ability to deliver a quality product within tight deadlines;
Ability to apply critical thinking and problem solving skills to different project-based scenarios;
Ability to learn and succeed in a fast-paced environment is essential;
Proven track record at managing multiple and competing priorities;

Ability to travel on Firm business (within Canada and United States and occasionally overseas).
