Job Description & Summary

A career within Delivering Deal Value services, will provide you with the opportunity to help clients achieve maximum value on their deal transactions by solving transformational and complex challenges. We focus on all operational aspects of a transaction, pre and post completion. We conduct pre deal and confirmatory due diligence, execute large scale enterprise wide integrations, and support complex divestitures and separations on a wide range of functional areas such as Information Technology, Operations, Human Capital, Health Industries, and other back office functions.

Part of the broader Deals Value Creation group, the Delivering Deal Value team focuses on all operational aspects of a transaction - pre and post completion : we conduct pre deal and confirmatory due diligence, but also execute large scale enterprise-wide integrations and support complex divestitures and separations. Given the breadth and diversity of our client needs, although this role focuses primarily on Operational Due Diligence, you would also be expected to lead Integration and Divestiture/Carve-out engagements (up to 40% of the time).


As a Manager, you’ll work as part of a team of problem solvers with extensive consulting and industry experience, helping our clients solve their complex business issues from strategy to execution. Specific responsibilities include but are not limited to:

Be actively involved in business development activities to help identify and research opportunities on new/existing clients
Train, coach, and supervise staff
Continue to develop internal relationships and your PwC brand

Operational due diligence

Assess and evaluate synergy plans proposed by management in contemplation of a merger

Identify and assess operational risks related to a transaction

Estimate standalone costs required for a carved-out business to operate independently

Identify potential value enhancement opportunities accessible to the buyer post-closing

Perform operational and financial benchmarking through industry research and internal resources

Design detailed and rigorous cost reduction plans in support of a vendor due diligence process

Engage and interface effectively with client/target senior management

Post-merger integration/Carve-out separation

Advise and assist clients on M&A integration/separation planning and management matters

Setting integration/carve-out strategy with senior executives

Integrating/separating all aspects of the businesses for smooth operations on Day One

Developing Transition Service Agreement schedules to ensure business continuity on Day One

Planning, capturing and tracking synergy, cost savings and/or performance enhancement initiatives across all areas of the business (Supply Chain, Operations, Sales, Finance, HR, IT, etc.)

Implementing communications, HR changes and change management programs

Managing an integration/separation management office

We are hiring individuals with over 7 years of professional experience, ideally with more than 3 years in management consulting, transaction services, investment banking, corporate development or private equity environments. The candidate must be able to work at “deal pace”, and must have experience in one or more of the following fields:

Due diligence and transaction advisory services;

Cost reduction, performance improvement and operational restructuring;

M&A integration planning and execution;

Large scale business transformation

An undergraduate degree in business, engineering, or other technical field of study (i.e. Mathematics, Economics, or Statistics) is required.

Relevant professional designations or graduate degrees viewed favourably (i.e. CFA, CPA, CBV, MBA, or M.Fin).

Strong written and oral communication skills

Fluency in French and English is required

This role does not support completion of the Canadian CPA designation.
