Beneath The Surface Capital (VCS Division) is seeking a Corporate Secretary or Securities Paralegal to be a key member of its in-house corporate compliance team. Must have a minimum of 5 years experience as a Securities Paralegal or Securities Legal Assistant. This position will be primarily responsible for the incorporation and structure of startup companies with the intent of taking them public on the CSE or TSXV. Additional duties will involve supporting the CEO with various corporate governance issues and regulatory filings. The successful candidate will be a flexible team player and willing to assist with administrative support functions as required. Reporting to the CEO, this position is conveniently located in downtown Vancouver.

Responsibilities include (but are not limited to):

Startup Development

· Create seed share structure and budget in consultation with CEO
· Conduct seed financings and manage IPO process with external counsel
· Ensure startup meets corporate and securities requirements as per below
· Manage communications and administrative/accounting issues related to the startup

Corporate and Securities Law

  • Ensure compliance under relevant corporate and securities laws and exchange policies
  • Complete accurate and timely TSXV and CSE filings
  • Maintain corporate registry and SEDI/SEDAR filings
  • Conduct due diligence reviews of corporate transactions and legal documents
  • Draft corporate documents and liaise with external counsel as required
  • Handle financings and share transactions
  • Handle annual general meetings

General Administrative Support

  • Assist with the preparation of board and committee meeting materials
  • Maintain corporate documents
  • Support CEO and compliance department as required

Qualifications:

  • A minimum of 5 years’ experience in a senior level legal administrative position, preferably with a paralegal certification
  • Strong knowledge of corporate and securities regulations, TSXV and CSE policies and public company experience, preferably with junior mining companies
  • Experience in dealing with startups, taking private companies public and raising capital through private placements and initial public offerings
  • Detail oriented with exceptional verbal and written communication skills
  • Flexible team player with strong interpersonal and organizational skills
  • Ability to multi task and work under strict deadlines, exhibiting grace under pressure
  • Excellent knowledge of Word, Excel and PowerPoint

Job Type: Permanent

Salary: $65,000.00-$70,000.00 per year
