The Paralegal and Business Administrative Assistant is responsible for maintaining and updating the legal records of the Company, assisting in the preparation and maintenance of contracts, corporate records, managing intellectual property, and assisting Senior Leadership Team with legal, corporate, executive and general office management.

MAJOR RESPONSIBILITIES:

Corporate and Minute Book

  • Maintain corporate records including minute books
  • Assist Senior Leadership Team with required administration and filings

Contracts and Agreements

  • Maintain template library of master agreements of various types, including non-disclosure, consulting and other types of agreements
  • Prepare standard agreements and co-ordinate sign off process for management approval and third party signature
  • Maintain and update legal and contract files, including contract management database

Intellectual Property

  • Coordinate filing of patent and trademark applications through outside counsel
  • Maintain patent and trademark files and maintain summary with filing deadlines
  • Ensure that filing and maintenance fees are paid when due
  • Ensure that the assets and technology of the Company are protected

Insurance and Risk

  • Working with Company insurance brokers and Finance, ensure insurance portfolio adequately covers business activities and risks)
  • complete annual insurance policy applications for insurance renewal and liaise with insurance broker throughout renewal process
  • Discuss ongoing needs with insurance broker based on current and new business activities

Use of Outside Counsel

  • Engage, direct, coordinate and liaise with outside counsel to monitor, manage and minimize use of outside legal services
  • Review invoices for services and question fees as applicable

Budget

  • Prepare annual expense budget for department
  • Provide prior year’s data as may be required for projection of legal fees, insurance premiums, patent fees
  • Review spending on monthly basis

Record Retention

  • Review record retention of files keep in house

Executive Assistance

· Provide senior level administrative support to senior leadership team handling information requests and performing functions such as preparing all types of correspondence (i.e., presentation preparation, spreadsheets, etc.)

· Arrange travel (domestic and international)

· Organize, create and submit expense reports for Senior Leadership team

· Arrange meetings, coordinate calendars and schedules for Senior Leadership team

Office Management

· Order all office/warehouse supplies, office equipment and furniture

  • Maintain phone system, printers and other office equipment. Coordinate repairs or maintenance as needed.
  • Coordinate and manage office move and installations with third party facilities management service, phone and utility providers
  • Other administrative duties as requested

MINIMUM QUALIFICATIONS:

· Minimum of 4-6 years of experience as a Paralegal

· Law clerk or paralegal training is required

· Post-secondary degree/diploma in the legal field or equivalent

· Experienced in providing administrative assistance to a Senior Leadership Team

· Excellent oral and written communication skills with the ability to convert complexity to actionable results in a clear and succinct manner

· Discretion with confidential information

· Ability to work efficiently and effectively to meet challenging deadlines

· Exceptional organizational skills with a strong attention to detail

· Keen ability to build strong internal and external relationships

· Proficiency with various computer software programs in Outlook, Word, Excel, and PowerPoint
